1. Acceptance of Terms

Welcome to PaySplit, a platform provided by Pay Split and developed by Muhammad Ali ("we," "us," or "our") that enables businesses and sellers ("you" or "Seller") to create professional invoices and collect payments from customers.

By registering for an account or using PaySplit, you agree to be bound by these Terms of Use ("Terms"). If you do not agree with these Terms, you may not use PaySplit.

2. Service Description

PaySplit provides a platform for:

  • Creating and customizing professional invoice templates
  • Sending invoices to customers
  • Collecting payments through Stripe integration
  • Offering flexible payment options including installments
  • Managing customer information and transaction history

Important: PaySplit facilitates invoice creation and payment collection but does not directly process payments. All payment processing is handled by Stripe, our third-party payment processor.

3. Account Registration and Eligibility

3.1 Registration Requirements

To use PaySplit, you must:

  • Be at least 18 years of age
  • Provide accurate and complete information including:
    • Full legal name and contact information
    • Business name and type (if applicable)
    • Tax ID (EIN or SSN) for tax compliance
    • Valid email address and phone number
    • Bank account information for receiving payments
  • Maintain accurate and up-to-date account information

3.2 Account Security

You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. You must immediately notify us of any unauthorized use or security breach.

By registering, you expressly consent to receive communications from PaySplit via email and/or SMS, including:

  • Essential Communications: Payment confirmations, invoice status updates, security alerts, and account notifications
  • Service Updates: Important changes to PaySplit features or terms
  • Marketing Communications: Product updates, new features, and promotional content (optional)

You may opt out of marketing communications by clicking "unsubscribe" in emails or texting "STOP" to SMS messages. Essential service communications cannot be disabled while you maintain an active account.

5. Payment Processing and Fees

5.1 Payment Processing

  • All payments are processed through Stripe
  • You must comply with Stripe's Terms of Service and Acceptable Use Policy
  • PaySplit does not store credit card numbers or sensitive payment data
  • You are responsible for payment disputes with customers

5.2 Fees

  • PaySplit's service fees (if any) will be clearly disclosed before you commit to them
  • Payment processing fees charged by Stripe apply to all transactions
  • You are responsible for all applicable taxes
  • All fees are non-refundable unless otherwise specified

5.3 Installment Payments

You may offer customers installment payment options (2-4 payments). You remain responsible for:

  • Clearly specifying installment terms on invoices
  • Delivering goods/services regardless of payment schedule
  • Handling disputes related to installment payments

6. Seller Responsibilities

As a seller using PaySplit, you agree to:

  • Provide accurate descriptions of goods/services on invoices
  • Deliver products/services as promised to customers
  • Comply with all applicable laws and regulations, including:
    • Tax collection and reporting requirements
    • Consumer protection laws
    • Business licensing requirements
    • Data protection regulations
  • Maintain professional conduct with customers
  • Resolve customer disputes promptly and fairly
  • Not use PaySplit for illegal, fraudulent, or prohibited activities

7. Prohibited Activities

You may not use PaySplit to:

  • Sell illegal goods or services
  • Engage in fraudulent or deceptive practices
  • Violate any laws or regulations
  • Infringe on intellectual property rights
  • Harass, abuse, or harm others
  • Transmit malware or malicious code
  • Attempt unauthorized access to our systems
  • Interfere with the proper functioning of PaySplit
  • Create multiple accounts without authorization
  • Use automated systems to extract data without permission

8. Intellectual Property

8.1 Your Content

You retain ownership of content you create (invoices, business information, etc.). By using PaySplit, you grant us a non-exclusive, royalty-free license to use, store, and display your content solely to provide our services to you.

8.2 Our Property

PaySplit and all its content, features, and functionality are owned by Pay Split and protected by intellectual property laws. You may not copy, modify, distribute, or reverse engineer any part of our service.

9. Privacy and Data Protection

Your use of PaySplit is governed by our Privacy Policy, which explains how we collect, use, and protect your information. By using PaySplit, you consent to our data practices as described in the Privacy Policy.

10. Disclaimers and Limitations of Liability

Important Legal Notice: This section limits our liability to you. Please read carefully.

10.1 No Warranties

PAYSPLIT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

10.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PAYSPLIT SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Payment processing errors or disputes
  • Service interruptions or system failures

OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless Pay Split, its developer, and affiliates from any claims, damages, losses, and expenses (including legal fees) arising from:

  • Your use or misuse of PaySplit
  • Violation of these Terms
  • Violation of any laws or third-party rights
  • Content you create or submit
  • Your business activities and customer disputes

12. Termination

12.1 Termination by You

You may close your account at any time by contacting us. You remain responsible for any outstanding obligations.

12.2 Termination by Us

We may suspend or terminate your account immediately if you:

  • Violate these Terms
  • Engage in fraudulent or illegal activities
  • Provide false information
  • Pose a risk to other users or PaySplit

12.3 Effect of Termination

Upon termination, you must settle all outstanding customer obligations. Sections regarding intellectual property, liability limitations, indemnification, and dispute resolution survive termination.

13. Dispute Resolution

13.1 Customer Disputes

You are responsible for resolving disputes with your customers directly or through Stripe's dispute resolution process. PaySplit is not responsible for mediating customer disputes.

13.2 Disputes with PaySplit

We prefer to resolve disputes informally. If informal resolution fails, disputes shall be resolved through binding arbitration under the American Arbitration Association rules. You waive any right to class action proceedings.

14. Governing Law

These Terms are governed by the laws of the United States and the State of California, without regard to conflict of law principles. Any legal action must be brought in California courts.

15. Changes to Terms

We may modify these Terms at any time. We will notify you of material changes via email or in-app notification. Your continued use after changes take effect constitutes acceptance of the modified Terms.

16. General Provisions

  • Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and PaySplit
  • Severability: If any provision is unenforceable, the remaining provisions remain in effect
  • No Waiver: Our failure to enforce any provision is not a waiver of our rights
  • Assignment: You may not assign these Terms without our written consent
